1.1 We are a technology company that builds intuitive and predictive software to make work mechanics simple and easy to use.
2.1 Our mission is to provide an online plug and play compliance application that makes "Being Compliant" easy for organizations.
3. Account Terms
3.1 You must be 18 years or older to use this Service. 3.2 You must provide your full legal name, a valid email address, and any other required information to complete the sign-up process. 3.3 You are responsible for maintaining the privacy and security of your account.Simpliance will not be held liable for any damage or loss that may result from your failure to protect your login information, including your password. 3.4 Simpliance may communicate with you via email regarding your account, system updates, or other issues related to your account. 3.5 You are responsible for all content posted and activity that occurs under your account (even when content is posted by others to your account). 3.6 Simpliance may refuse service to anyone for any reason at any time.
4. Payment Terms
4.1 We will charge you a standard fee based on your account plan. The Service is billed in advance and is non-refundable. There will be no refunds or credits for partial months of service, or refunds made should you not use the Service during a period of time when your account is open. No exceptions will be made.
5. Modification to the Services
5.1 Simpliance reserves the right to modify, suspend, or discontinue the Service at any time for any reason with or without notice.
6. Cancellation and Termination
6.1 You alone are responsible for the proper cancellation of your account. You may cancel your account at any time by contacting your Simpliance account manager or by sending an email to firstname.lastname@example.org. You can cancel at any time, but you will remain liable for all charges accrued up to that time, including full monthly charges for the month which you discontinued service. You will not be charged again.
6.2 Simpliance reserves the right to (i) modify or discontinue, temporarily or permanently, the Service (or any part thereof) and (ii) refuse any and all, current and future use of the Service, suspend or terminate your account (any part thereof) or use of the Service and remove and discard any of your content in the Service, for any reason, including, if Simpliance believes that you have violated these Terms Of Service. Simpliance will use all reasonable efforts to contact you directly via email to warn you prior to suspension or termination of your account. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of Service, may be referred to appropriate law enforcement authorities. Simpliance shall not be liable to you or any third party for any modification, suspension or discontinuation of the Service.
7. Copyright and Ownership
7.1 Simpliance owns the intellectual property rights to any and all protectable components of the Service, including but not limited to the name of the Service, artwork and end-user interface elements, pre-configured compliance data contained within the Service, many of the individual features, and the related documentation. You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or dissemble any aspect of the Service which Simpliance owns.
7.2 Simpliance claims no intellectual property rights over the content you upload or provide to the Service.
8. General Conditions
8.1 Your use of the Service, including any content, information or functionality contained within it, is provided "as is" and "as available" with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for your use of this Service.
8.2 You agree not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Simpliance.
8.3 You may not use the service to store, host, or send unsolicited email (spam) or SMS messages.
8.4 Simpliance will maintain commercially acceptable administrative, physical and technical safeguards to protect the security, confidentiality and integrity of your data.
8.5 You may not use the service to transmit any viruses, worms, or malicious content.
8.6 Simpliance makes no warranties regarding (i) your ability to use the Service, (ii) your satisfaction with the Service, (iii) that the Service will be available at all times, uninterrupted, and error-free (iv), the accuracy of mathematical calculations performed by the Service, (v) the accuracy of the acts and laws contained in the Service and (vi) that bugs or errors in the Service will be corrected.
8.7 Simpliance its affiliates and its sponsors are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, and punitive or other damages arising out of or relating in any way to your use of the Service. Your sole remedy for dissatisfaction with the Service is to stop using the Service.
8.8 If any provision of the Terms of Service is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.
8.9 Simpliance may, but have no obligation to, remove content and accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
8.10 The failure of Simpliance to exercise any right provided for herein shall not be deemed a waiver of any right hereunder. The Terms of Service sets forth the entire understanding between you and Simpliance as to the Service and supersedes any prior agreements between you and Simpliance (including, but not limited to, prior versions of the Terms of Service).

9. Governing Law
9.1 These Terms of Services shall be governed by the laws of Bangalore, Karnataka, India without regard to the principles of conflicts of law. You hereby expressly agree to submit to the exclusive personal jurisdiction of the state courts of the State of Karnataka for the purpose of resolving any dispute relating to your access to or use of the Service.
The terms "we", "us", and "Simpliance" refer to Simpliance.in and the terms "you" and "your" refer to you, as a user of Simpliance.in. The term "personal information" means information that you provide to us which personally identifies you to be contacted or identified, such as your name, phone number, email address, and any other data that is tied to such information.

2.1 If you create an account to take advantage of the full range of services offered on Simpliance, we ask for and record personal information such as your name, email address and mobile number. We use your email address to send you updates, news, and newsletters. Simpliance assures that this information will not be made public or sold to any third party.
3.1 If you contact us to provide feedback, register a complaint, or ask a question, we will record any personal information and other content that you provide in your communication so that we can effectively respond to your communication.
4.1 We record information relating to your use of Simpliance, such as the searches you undertake, the pages you view, your browser type, IP address, location, requested URL, referring URL, and timestamp information. We use this type of information to administer Simpliance and provide the highest possible level of security and service to you. We also use this information in the aggregate to perform statistical analyses of user behavior and characteristics in order to measure interest in and use of the various areas of Simpliance. However, You cannot be identified from this aggregate information.

No Personally identifiable information is collected or used in this process. 7.1 We may share your personal information with third parties to provide you with services that we offer through Simpliance, conduct quality assurance testing, facilitate creation of accounts, provide technical and customer support, or provide specific services, such as synchronization of your contacts with other software applications, in accordance with your instructions. 7.4 We may disclose information in the aggregate to third parties relating to user behavior in connection with actual or prospective business relationship with those third parties, such as advertisers and content distributors. For example, we may disclose the number of users that have been exposed to, or clicked on, advertising banners.

9.1 As a registered Simpliance user, you can modify some of your personal information and your privacy preferences by accessing the "My Profile" section of this website.
10.2 You hereby acknowledge that Simpliance is not responsible for any intercepted information sent via the internet, and you hereby release us from any and all claims arising out of or related to the use of intercepted information in any unauthorized manner.
